Overview[]

The Convention was prepared by UNCITRAL between 2002 and 2005. The U.N. General Assembly adopted the Convention on November 23, 2005, by its resolution 60/21 and the Secretary-General opened it for signature on 16 January 2006.

The Convention applies to the “use of electronic communications in connection with the formation or performance of a contract between parties whose places of business are in different States.” The purpose of the Convention is to offer practical solutions for issues related to the use of electronic means of communication in connection with international contracts.
